SeekMake provides a software platform that helps makers and manufacturers automate:
• quoting and pricing
• order intake and workflow
• customer communication
• project and file management

The SeekMake Service is accessed via:
• the SeekMake web dashboard / management console, and
• an embeddable widget installed on your website (the "Widget").

SeekMake provides software only. We do not ourselves manufacture any physical parts or products.

To use the SeekMake Service on your website, you must install a code snippet provided by SeekMake (the "Launching Code") which loads the Widget.

SeekMake grants you a limited, revocable, non-exclusive, non-transferable license to use the Launching Code solely to display and use the Widget on your own website(s) in connection with the SeekMake Service.

You may not:
• copy, modify, adapt, translate, reverse engineer, decompile, or disassemble the Widget or Launching Code;
• remove or alter any copyright, proprietary, or licensing notices;
• sell, lease, loan, sublicense, or otherwise provide the Widget or Launching Code to any third party;
• use the Launching Code for any purpose other than loading the Widget and accessing the SeekMake Service.

Any modification you make (even if not permitted) to the Widget or Launching Code shall automatically be owned by SeekMake, without compensation.
SeekMake retains all rights, title, and interest in and to the Widget, Launching Code, and the SeekMake Service.

To use the SeekMake Service, you must create an account ("Account").

You agree to:
• provide accurate and complete registration and billing information;
• keep your information up to date (name, email, company details, billing address, card details, etc.);
• maintain the confidentiality of your login credentials;
• ensure only your employees and authorized staff use your Account.

You are responsible for all activity under your Account. SeekMake is not responsible for any loss or damage resulting from unauthorized use of your Account where you failed to keep your credentials secure.
If your purchase includes a technology/pricing set-up service, SeekMake staff may configure initial pricing and settings based on the data you provide. You remain fully responsible for all prices, rules, and configurations used in your account.

SeekMake may offer a 7-day free trial beginning when you create your Account.

• During the trial, no subscription fees are charged.
• To continue using the SeekMake Service after the trial, you must provide a valid payment method before the trial ends.
• If you do not provide valid payment details, your access may be automatically limited or suspended at the end of the trial.

SeekMake may change or withdraw free trial offers at any time.

5.1 Subscription Period
Your subscription ("Subscription") runs for a recurring billing period (for example, monthly or yearly), as shown in your plan, invoice or checkout page ("Subscription Period").
Unless cancelled as described in these Terms, your Subscription automatically renews at the end of each Subscription Period.

5.2 Subscription Fees
Each Account is subject to fees based on the plan you choose ("Subscription Fees").
Plans may include account limits ("Account Limits"), for example:
• number of quotes or parts per month
• number of users
• number of active machines
• storage or upload limits, etc.

Subscription Fees are billed in advance for each Subscription Period.

All payments are non-refundable, including if:
• your usage is low,
• you stop using the SeekMake Service, or
• your Account is suspended or terminated for breach of these Terms.

Payments are processed by third-party payment processors ("Payment Processors"). SeekMake is not responsible for their actions or omissions.
By submitting your payment details, you authorize SeekMake (directly or via Payment Processors) to charge your chosen payment method for:
• the initial Subscription Period,
• all renewal periods, and
• any applicable upgrade or overage fees.

If SeekMake is unable to charge your payment method, we may suspend or terminate your access to the SeekMake Service.

If, at any time, your usage exceeds the Account Limits of your current plan:
• your Account may be automatically upgraded to a plan that matches your actual usage; and
• your Subscription Fees may be adjusted accordingly (the "Upgraded Fee").

For pre-paid annual or multi-period plans, a pro-rated upgrade fee may be charged for the remaining portion of the pre-paid period.
By using the SeekMake Service, you authorize SeekMake to charge your payment method for any:
• Upgraded Fees; and
• one-off plan upgrade charges,
until your Subscription is cancelled as described below.

SeekMake may adjust prices and plan structures from time to time.

• All fees are subject to an annual indexation of up to 3% per year, applied on or after 1 January.
• Material changes to prices or features will be notified in advance and will apply on the next renewal of your Subscription.
• If you do not agree with a price or feature change, you may cancel your Subscription at any time before the next renewal (see Section 9).

8.1 Failed or Late Payments
You are responsible for ensuring that a valid payment method is available for charging.
If a payment attempt fails:
• SeekMake will inform you and may allow a short grace period (for example, up to 5 business days) to update your payment method.
• If payment is not successfully made within that period, SeekMake may:
- suspend or restrict your access, including blocking the Widget, and/or
- terminate your Account, while still pursuing any unpaid amounts.

SeekMake reserves the right to recover outstanding amounts by any lawful means.

8.2 Other Payment Methods
If alternative payment methods (e.g. bank transfer, ACH, cheque) are agreed with SeekMake:
• you are responsible for bank fees or transfer costs;
• you may be required to add a fixed fee (e.g. USD 25 per transfer) to cover bank charges, as communicated by SeekMake.

9.1 You Can Cancel Any Time
You may cancel your Subscription at any time, with the following effects:
• Cancellation is effective at the end of your current Subscription Period (for example, the end of the current month or year).
• You will not be charged for future renewal periods after cancellation is processed.
• Amounts already paid for the ongoing Subscription Period are non-refundable, and you will retain access until that period ends.

You can cancel:
• via the billing or subscription settings (where available), or
• by sending a clear written request from your registered contact email to SeekMake's support or billing contact.

9.2 Termination by SeekMake
SeekMake may suspend or terminate your Account:
• if you fail to pay any due fees;
• if you breach these Terms or applicable laws;
• if your use of the SeekMake Service jeopardizes our infrastructure or other customers;
• or for any other valid business reason, with reasonable notice where possible.

In the event of termination by SeekMake without your fault (for example, if we discontinue the service entirely), we may at our discretion refund a pro-rated portion of prepaid fees for any unused Subscription Period.

Upon termination or expiry of your Subscription:
• your license to use the SeekMake Service and Widget ends;
• you must remove the Widget and Launching Code from your website;
• SeekMake may delete or anonymize your data in accordance with its data retention policies.

To use the SeekMake Service, you must have:
• a compatible computer or mobile device;
• a stable internet connection; and
• a modern, supported web browser.

You are responsible for any data or mobile charges and for the proper functioning of your own systems.

Your Account is for your organization's internal use only. You may not resell, rent, or repackage the SeekMake Service as a standalone service without SeekMake's written consent.

You agree not to:
• sublicense, sell, resell, rent, lease, or time-share the SeekMake Service;
• attempt to gain unauthorized access to the SeekMake Service or underlying systems;
• use the SeekMake Service in any unlawful way, including to violate data protection or privacy laws;
• upload or transmit any content that is illegal, infringing, defamatory, hateful, obscene, or otherwise objectionable;
• introduce viruses, malware, or other malicious software;
• interfere with or disrupt the integrity or performance of the SeekMake Service.

SeekMake may suspend or terminate access if these restrictions are violated.

SeekMake uses commercially reasonable efforts to keep the SeekMake Service available 24/7, but:
• availability is not guaranteed;
• scheduled maintenance, updates, or network issues may cause temporary downtime;
• SeekMake is not liable for any unavailability, loss of data, or delays caused by the internet, hosting providers, or other external factors.

Where reasonably possible, SeekMake will provide advance notice of planned maintenance.

SeekMake retains all rights, title, and interest in and to:
• the SeekMake Service;
• the Widget and Launching Code;
• all related software, documentation, trademarks, and branding.

Subject to these Terms and your payment of applicable fees, SeekMake grants you a revocable, limited, non-exclusive, non-transferable license to:
• access and use the SeekMake Service;
• install and display the Widget on websites you own or control;
• use the SeekMake Service solely for your internal business purposes.

No other rights (including to SeekMake source code or internal tools) are granted.

"Content" means any data, files, 3D models, CAD drawings, text, images, or other material uploaded, submitted, or transmitted through your Account, including content submitted by your customers via the Widget.

You are legally responsible for all Content. SeekMake does not review or approve Content.

You grant SeekMake a worldwide, royalty-free, non-exclusive license to:
• host, store, process, display, and transmit Content as needed to provide the SeekMake Service;
• transfer Content to manufacturing partners or equipment solely to manufacture parts based on your designs, where applicable.

You represent and warrant that:
• you and your customers have all necessary rights, licenses, and consents for the Content;
• the Content does not infringe any third-party intellectual property, privacy, or other rights;
• the Content does not contain illegal, harmful, hateful, or offensive material.

You are responsible for:
• any royalties, fees, or damages owed to third parties for use of their content;
• backing up your Content (SeekMake does not guarantee backup or restoration after termination).

SeekMake may remove any Content that it reasonably believes is unlawful, infringing, or otherwise violates these Terms.

The SeekMake Service may allow you or your customers to place orders with third-party manufacturers or service providers ("Suppliers").

• SeekMake only provides the software platform that connects buyers and suppliers.
• Any order, contract, or transaction with a Supplier is between you (or your customer) and the Supplier, not SeekMake.

SeekMake is not responsible for:
• product quality, suitability, tolerance, or performance;
• delivery or lead times;
• pricing, invoicing, or contractual terms between you and Suppliers;
• losses or damages arising from Supplier actions, omissions, or products.

You agree that SeekMake has no liability for any dealings between you (or your customers) and Suppliers.

"Confidential Information" means any non-public information that a party discloses to the other and which is identified as confidential or reasonably should be understood as confidential.

Both parties agree to:
• use Confidential Information only for purposes of the SeekMake Service;
• protect it with at least reasonable care;
• not disclose it to third parties except to employees or contractors who need to know and are bound by confidentiality obligations.

This section does not apply to information that:
• is or becomes public through no fault of the receiving party;
• was already known by the receiving party;
• is received lawfully from a third party;
• must be disclosed by law, court order, or authority (with notice where legally possible).

The SeekMake Service and the Widget are provided "as is" and "as available".

To the maximum extent permitted by applicable law, SeekMake disclaims all warranties, whether express, implied, or statutory, including but not limited to:
• warranties of merchantability;
• fitness for a particular purpose;
• non-infringement;
• accuracy, reliability, or completeness of results;
• continuous, error-free, or secure operation.

You use the SeekMake Service at your own risk.

To the maximum extent permitted by law:
• SeekMake shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, business opportunities, or goodwill, even if advised of the possibility of such damages.
• SeekMake's total aggregate liability arising out of or in connection with these Terms or the SeekMake Service shall not exceed the total amount of Subscription Fees you paid to SeekMake in the twelve (12) months immediately preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory invoked (contract, tort, negligence, etc.), and even if any remedy fails its essential purpose.
Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless SeekMake and its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
• your use of the SeekMake Service or Widget;
• your customers' use of the SeekMake Service or Widget;
• your breach of these Terms or applicable laws;
• your customers' breach of these Terms or applicable laws;
• any Content you or your customers upload or transmit;
• your or your customers' violation of any third-party rights (including IP rights, confidentiality, or privacy).

By using the SeekMake Service, you consent to receiving electronic communications from SeekMake, such as:
• billing information and invoices;
• service announcements;
• important changes to these Terms or the SeekMake Service;
• account-related notifications.

These communications satisfy any legal requirement that such messages be in writing.

SeekMake may update these Terms from time to time.

• Updated Terms will be published on the SeekMake website.
• Changes become effective 15 days after posting, unless a later date is specified.
• If you continue to use the SeekMake Service after the updated Terms become effective, you are deemed to have accepted them. If you do not agree, you may cancel your Subscription at any time (see Section 9).

These Terms are governed by and construed in accordance with the laws of France, excluding its conflict of law rules.
Any dispute arising out of or in connection with these Terms or the SeekMake Service shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.

• You may not assign or transfer these Terms or any rights or obligations under them without SeekMake's prior written consent. Any unauthorized assignment is void.
• If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
• These Terms constitute the entire agreement between you and SeekMake regarding the subscription and use of the SeekMake Service and supersede all prior or contemporaneous agreements, proposals, or communications.
• Unless prohibited by applicable law, any claim arising out of these Terms must be brought within one (1) year after the cause of action arose, or be forever barred.
